Terms of Service

1. Introduction

These Terms of Service ("Terms") govern your access to and use of the VoiceNest platform and AI voice receptionist services ("Service") provided by VoiceNest ("we", "us", "our"). By accessing or using our Service, you agree to be bound by these Terms. If you do not agree, you must not use the Service.

2. Service Description

VoiceNest provides custom-built AI voice receptionists that answer phone calls on behalf of your business, handle enquiries, book appointments, and capture leads 24/7. The Service includes an analytics dashboard, call transcription, and integration support. We build each AI receptionist specifically for your business, including custom greetings, conversation flows, and escalation rules.

3. Account Terms

• You must be at least 18 years of age and have the legal authority to enter into these Terms on behalf of your business.
• You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account.
• You must provide accurate and complete information when creating your account and keep it up to date.
• You must notify us immediately if you become aware of any unauthorised use of your account.

4. Acceptable Use

You agree not to use the Service to:

• Engage in any unlawful, fraudulent, or deceptive activity
• Make or facilitate unsolicited or automated calls that violate applicable telecommunications regulations
• Transmit any material that is defamatory, obscene, or harmful
• Attempt to reverse-engineer, decompile, or disassemble any part of the Service
• Interfere with or disrupt the integrity or performance of the Service
• Use the Service in a way that exceeds reasonable usage thresholds as defined in your plan

5. Payment Terms

All fees are quoted and payable in British Pounds Sterling (GBP). Payment is due in advance on a monthly or annual basis as specified in your chosen plan. We reserve the right to adjust pricing with 30 days' written notice. Failure to pay may result in suspension or termination of the Service. Refunds are handled on a case-by-case basis at our discretion. Additional usage beyond your plan allowance will be billed at the overage rates stated in your service agreement.

6. Intellectual Property

All intellectual property rights in the Service, including software, AI models, design, and documentation, remain the exclusive property of VoiceNest. You retain ownership of your business data and content. By using the Service, you grant us a limited licence to use your business information solely for the purpose of providing and improving the Service. Custom AI configurations built for your business are licensed to you for the duration of your subscription but remain our intellectual property.

7. Limitation of Liability

To the maximum extent permitted by law, VoiceNest shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, revenue, data, or business opportunities, arising from your use of the Service. Our total aggregate liability under these Terms shall not exceed the total fees paid by you in the 12 months preceding the claim. Nothing in these Terms excludes or limits liability for death or personal injury caused by negligence, fraud, or any other liability that cannot be excluded under English law.

8. Service Availability

We strive to maintain high availability but do not guarantee uninterrupted access to the Service. We may perform scheduled maintenance with reasonable notice. We shall not be liable for any downtime or service interruption caused by circumstances beyond our reasonable control, including but not limited to third-party telephony outages, internet disruptions, or force majeure events.

9. Termination

Either party may terminate the Service by providing 30 days' written notice. We may suspend or terminate your access immediately if you breach these Terms. Upon termination, your access to the Service and dashboard will cease. We will retain your data for 30 days following termination, after which it will be permanently deleted unless a longer retention period is required by law.

10. Governing Law

These Terms are governed by and construed in accordance with the laws of England and Wales. Any disputes arising under or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of England and Wales.

11. Changes to These Terms

We may revise these Terms at any time by updating this page. Material changes will be communicated via email at least 30 days before they take effect. Your continued use of the Service after changes become effective constitutes acceptance of the revised Terms.
